1. Acceptance of Terms
Welcome to Tribly. By accessing or using our platform, mobile application, or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.
These Terms constitute a legally binding agreement between you (the "User" or "Customer") and Tribly ("we," "us," or "our"), governing your use of our customer engagement and retention platform.
2. Services Description
Tribly provides a comprehensive customer engagement, retention, and management platform that includes but is not limited to:
- Customer journey automation and lifecycle marketing
- AI-powered campaign optimization and personalization
- WhatsApp and multi-channel communication automation
- Digital invoice management and tracking
- Customer analytics and insights dashboards
- Loyalty programs and referral systems
- Feedback management and sentiment analysis
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By using Tribly, you represent and warrant that you meet these eligibility requirements.
For business accounts, you represent that you have the authority to bind your organization to these Terms.
4. Account Registration and Security
To access certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
5. Subscription and Payment Terms
5.1 Pricing
Our Services are offered on a subscription basis. Pricing details are available on our website or through our sales team. All prices are in Indian Rupees (INR) unless otherwise stated.
5.2 Payment
You agree to pay all fees associated with your subscription plan. Payments are due as per the billing cycle selected (monthly, quarterly, or annually). We accept payments through credit cards, debit cards, UPI, net banking, and other payment methods as specified.
5.3 Taxes
All fees are exclusive of applicable taxes, including GST. You are responsible for paying all taxes associated with your use of the Services.
5.4 Refunds
Refunds will be processed in accordance with our refund policy. Generally, subscription fees are non-refundable except as required by law or at our sole discretion.
6. User Responsibilities and Conduct
You agree not to:
- Use the Services for any illegal, harmful, or fraudulent purpose
- Violate any applicable laws, including but not limited to the IT Act 2000 and DPDPA 2023
- Send unsolicited or spam messages through our platform
- Upload malicious code, viruses, or any harmful content
- Attempt to gain unauthorized access to our systems or networks
- Reverse engineer, decompile, or disassemble any part of our Services
- Use the Services to infringe on intellectual property rights of others
- Share your account credentials with unauthorized parties
7. Data and Content
7.1 Your Data
You retain all rights to the customer data, content, and information you upload or input into our Services ("Customer Data"). You grant us a limited license to use, store, and process Customer Data solely for the purpose of providing the Services to you.
7.2 Data Compliance
You are responsible for ensuring that your use of the Services and any Customer Data complies with all applicable laws, including data protection and privacy laws such as the Digital Personal Data Protection Act, 2023 (DPDPA).
7.3 Data Security
We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security of your data.
8. Intellectual Property Rights
All intellectual property rights in the Services, including but not limited to software, designs, graphics, text, and trademarks, are owned by or licensed to Tribly. You may not use, copy, modify, or distribute any of our intellectual property without prior written consent.
"Tribly" and associated logos are trademarks of Tribly. Unauthorized use of our trademarks is strictly prohibited.
9. Limitation of Liability
To the maximum extent permitted by Indian law:
- Tribly shall not be liable for any indirect, incidental, special, or consequential damages
- Our total liability for any claims arising from the Services shall not exceed the amount paid by you in the 12 months preceding the claim
- We are not responsible for any loss of data, profits, or business opportunities
- We do not warrant that the Services will be uninterrupted, error-free, or completely secure
10. Indemnification
You agree to indemnify, defend, and hold harmless Tribly, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your Customer Data or content
11. Term and Termination
These Terms remain in effect while you use the Services. Either party may terminate the agreement:
- You may cancel your subscription at any time through your account settings
- We may terminate or suspend your access immediately if you breach these Terms
- We may discontinue the Services with 30 days' notice
Upon termination, your right to use the Services ceases immediately. We will provide you access to export your Customer Data for 30 days after termination, subject to payment of any outstanding fees.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.
13.2 Jurisdiction
Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
13.3 Arbitration
Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations. If unresolved within 30 days, disputes may be referred to arbitration under the Indian Arbitration and Conciliation Act, 1996.
14. Communication Compliance
When using our Services for customer communication:
- You must comply with TRAI (Telecom Regulatory Authority of India) regulations
- You must obtain proper consent before sending promotional messages
- You must honor opt-out requests and maintain DND (Do Not Disturb) compliance
- WhatsApp Business API usage must comply with WhatsApp's Business Policy
15. Service Level and Availability
We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be performed with advance notice when possible. We are not liable for service interruptions due to circumstances beyond our reasonable control.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Tribly regarding the Services.
